1. Acceptance of Terms

By accessing or using FacStat ("the Service"), operated by FacStat LLC ("we," "us," "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. What We Offer

FacStat aggregates publicly available job listings from independent schools and provides a matching tool to help educators identify schools aligned with their experience and interests. Job listings are not postings by FacStat; we link to the originating school's career page or applicant tracking system for each role.

3. Not an Employment Agency

FacStat is an information and discovery tool. We are not a staffing agency, placement firm, or employer. We do not place candidates, negotiate terms, or guarantee interviews, offers, or employment outcomes. All employment relationships are solely between the candidate and the hiring school.

4. Accuracy of Information

We make reasonable efforts to keep job listings and school profiles current, but we cannot guarantee the accuracy, completeness, or timeliness of any information displayed. Users should verify details (deadlines, salary, qualifications, school characteristics) directly with the hiring school before acting on them. The Teacher Match Quiz provides recommendations based on self-reported information and publicly available school data — it is a decision-support tool, not professional career advice.

5. User Accounts and Submissions

If you submit an email address, resume, or other information through the Service, you represent that you have the right to share that information and that it is accurate. We may use submissions to match you with roles, send you digests of matching jobs, or contact you about the Service. See our Privacy Policy for details on how we handle your data.

6. Intellectual Property

School profile copy, the Teacher Match Quiz architecture, and the FacStat brand are our intellectual property. Job titles, school names, and factual metadata are the property of their respective schools. You may link to FacStat pages and share them, but you may not scrape, copy, or redistribute the Service's content without written permission.

7. Prohibited Conduct

You agree not to: (a) submit false or misleading information; (b) harvest email addresses or contact information from the Service; (c) attempt to gain unauthorized access to the Service's systems; (d) use the Service to send unsolicited commercial messages; (e) scrape, frame, or republish Service content in bulk without permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be error-free, uninterrupted, or that it will produce particular career outcomes.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FACSTAT LLC, ITS OWNERS, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR OPPORTUNITY ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold FacStat LLC harmless from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third party's rights.

11. Modifications

We may modify these Terms at any time. If we make material changes, we will post the updated Terms on this page and update the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without notice.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules. Any dispute arising from or relating to the Service shall be resolved exclusively in the state or federal courts located in Middlesex County, Massachusetts.
